Don’t forget the nondisclosure agreement

A nondisclosure agreement (NDA) is a tool used by the laboratory to allow an open exchange of information with third parties when discussing potential research collaborations or licensing opportunities. NDA’s protect the laboratory as well as the patentability of Argonne inventions.

The Legal Department has created a video that provides five tips for utilizing NDA’s.

Legal drafts and negotiates NDA’s to ensure that each complies with the laboratory’s obligations under law, federal regulation and the Prime Contract. For this reason, properly authorized NDA’s must come from and be signed by authorized personnel in the Legal Department.

To request an NDA from Legal, complete a Nondisclosure Agreement Request (ANL-1017) in its entirety. The following information must be included:

  • Identify the party that Argonne will be negotiating with, including the point of contact.
  • Identify the person(s) at Argonne who will assume responsibility for the NDA.
  • Identify the purpose of the discussions to be covered by the NDA.
  • List any Argonne protectable information, including invention numbers.
  • List any confidential information the counterparty will be providing.
  • Include information if an export control review for any Argonne protectable information is required.

Using the above information, Legal will draft and negotiate the appropriate NDA.
